Item 2.02 Results of Operations and Financial Condition
 
On May 22, 2024, Michael L. Berger, President, and Quint O. Turner, Chief Financial Officer, of Air Transport Services Group, Inc. ("ATSG" or the "Company") gave a presentation at ATSG's Annual Meeting of Stockholders for 2024 (the "2024 Annual Meeting") concerning the Company's financial results for 2023 and outlook for 2024. A copy of the presentation is included as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.  
 
Item 5.07 Submission of Matters to a Vote of Security Holders
 
On May 22, 2024, the Company held its 2024 Annual Meeting. At the close of business on March 25, 2024, the voting record date, there were 65,683,885 shares of common stock outstanding and entitled to vote. At the 2024 Annual Meeting, 59,879,126, or 91.2%, of the outstanding shares of common stock entitled to vote were represented by proxy or in person. The voting results for each of the proposals are set forth below.

ATSG Holds Annual Meeting of Stockholders

 

WILMINGTON, Ohio – May 22, 2024 – Stockholders of Air Transport Services Group, Inc. (NASDAQ:ATSG) meeting today on a virtual-only basis have reelected nine directors to the Board of Directors.

 

During the meeting, stockholders also:

Ratified the appointment of Deloitte & Touche LLP as the Company's independent registered public accounting firm for fiscal year 2024;
 

●

Approved on an advisory basis the compensation of the Company’s named executive officers for 2023; and
 

●

Rejected a stockholder proposal related to the disclosure of managing climate risk through science-based targets and transition planning.

 

Directors of the Company reelected to one-year terms on the Board were Phyllis J. Campbell, Jeffrey A. Dominick, Joseph C. Hete, Raymond E. Johns, Jr., Laura J. Peterson, Randy D. Rademacher, J. Christopher Teets, Jeffrey J. Vorholt and Paul S. Williams.
