Risks Related to the Notes
The notes are unsecured and subordinated to our existing and future senior indebtedness.
Although the New Notes will rank on par with the Old Notes, the notes will be unsecured, subordinated obligations of South Plains and, consequently, will rank junior in right of payment to all of our secured and unsecured “senior indebtedness” now existing or that we incur in the future, as described under “Description of the Notes–Subordination.” As a result, upon any payment or distribution of assets to creditors in the case of liquidation, dissolution, winding up, reorganization, assignment for the benefit of creditors or any bankruptcy, insolvency or similar proceeding, the holders of the senior indebtedness will be entitled to have the senior indebtedness paid in full prior to the holders of the notes receiving any payment of principal of, or interest on, the notes.
As of September 30, 2020, the Company’s subsidiaries had, in the aggregate, outstanding debt and deposits of $3.1 billion, which would rank senior to the notes. In addition, as of September 30, 2020, South Plains Financial, Inc. had no indebtedness that would rank senior to the notes, $76.5 million that would rank pari passu with the notes, and $46.4 million that would rank subordinate to the notes.
