Item 3 .0 1 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

YogaWorks, Inc. (the “Company”) filed a Current Report on Form 8-K dated July 15, 2019 (the “Original Form 8-K”) to announce its decision to delist from The NASDAQ Stock Market.

This Amendment No. 1 on Form 8-K/A is being filed solely for the purpose of replacing the Press Release attached as Exhibit 99.1 on the Original Form 8-K with the Updated Press Release, attached as Exhibit 99.1 hereto. This Amendment does not otherwise change or affect any previously reported information contained in the Original Form 8-K.
