Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective January 21, 2025, the Board of Directors (the “Board”) of Guidewire Software, Inc. (the “Company”) appointed Jeff Sloan as a director of the Board, effective immediately. Mr. Sloan’s initial term will run through the Company’s 2025 annual meeting of stockholders, subject to his being re-elected at that meeting.
Mr. Sloan served as chief executive officer of Global Payments Inc. (NYSE: GPN), a leading worldwide provider of payment technology and software solutions, through June 2023. Prior to that, he was Global Payment’s president from 2010 until 2013. Between 1998 and 2010, he held various positions at Goldman Sachs, finishing as a Partner. Since 2013, he has served on the board of directors of Corpay (NYSE: CPAY), a global leader in corporate payments.
There are no arrangements or understandings between Mr. Sloan and any other person pursuant to which he was appointed as a director of the Company. Mr. Sloan has no family relationship with any director or executive officer of the Company. Mr. Sloan is not a party to and has no direct or indirect material interest in any transaction or proposed transaction in which the Company is or is to be a party for which disclosure would be required under Item 404(a) of Regulation S-K.
Mr. Sloan will be provided with the Company’s standard non-employee director compensation and director indemnification agreement.
On January 27, 2025, the Company issued a press release announcing the appointment of Mr. Sloan as a director. A copy of this press release is furnished as Exhibit 99.1 to this current report on Form 8-K.
