Transfer
Solid State plc (AIM: SOLI), the
specialist value added component supplier and design-in
manufacturer of computing, power, and communications products,
announces the issuance of 14,750 new ordinary shares of 5p each
("Ordinary Shares") to satisfy exercises of options by certain
employees under the Company Share Option Plan.
Furthermore, the Company announces
the issuance of 12,000 new Ordinary Shares into treasury. It is
anticipated that these shares will principally be used to satisfy
future awards under the Company's Staff All Employee Share
Ownership Plan.
An application has been made for a
total of 26,750 new Ordinary Shares to be admitted to trading on
AIM ("Admission"). These
shares will rank pari
passu with the Company's existing Ordinary Shares and it is
expected that Admission will become effective at 8.00 a.m. on 26
January 2024.
Total Voting Rights
Following Admission, the Company's
issued share capital will consist of 11,376,644 Ordinary Shares of
which 33,946 will be held in treasury. Therefore, the total number
of voting rights in the Company following Admission will be
11,342,698. Shareholders may use this figure as the denominator for
the calculations by which they will determine if they are required
to notify their interest in, or a change to their interest in, the
Company under the Disclosure Guidance and Transparency
Rules.
PDMR Share Transfer
The Company also announces that
Peter James, Chief Financial Officer, has transferred 3,103
existing Ordinary Shares to his wife, Rosie James, for nil
consideration.
