                        RMR plc ("RMR" or "the Company")


Following their resignations from the Board on 6 March 2002, Chris Thomas and
Gwyn Jones issued legal proceedings against the company.

We are happy to report that these have now been settled to the satisfaction of
all parties by a payment of #59,000 to Messrs Thomas and Jones.

They will also retain their current shareholding and receive a further 1 million
shares in RMR. All parties now look forward to working together for the benefit
of the company.

The Board considers, having consulted with its nominated adviser Marshall
Securities Limited, that the terms of the transaction are fair and reasonable
insofar as its shareholders are concerned.
