LETTER TO: FLEXTECH PLC


We hereby notify you in accordance with Part VI of the Companies Act 1985 (the
"Act") that on 14 March 2000 Cox Communications, Inc and Cox Communications
Holdings, Inc ("Cox Entities") entered into an agreement with Merrill Lynch
International for the sale by Merrill Lynch International, as agent for the Cox
Entities, of the 20,701,804 ordinary shares of 10p each in the relevant share
capital (as defined in section 198(2) of the Act) of Flextech plc registered in
the name of Cox Communications Inc. (the "Shares").  Completion of this
agreement is set to occur on 21 March 2000.

Subject to completion of the agreement occurring, Cox Communications, Inc and
Cox Communications Holdings, Inc. no longer have a notifiable interest (as
defined in section 199(2) of the Act) in the relevant share capital of Flextech
plc.
