Acorn Group Plc - Section 198 Disclosures 

I have today received notice pursuant to Section 198 of the Companies Act 1995
to the following effect:

MSDW Investment Holdings Limited, MSDW Investment Holdings (US) Inc., and MSDW
Investment Holdings (UK) Limited are each interested as at 3 June 1999 in
88,676,178 of the ordinary shares of 10 pence each of Acorn Group Plc
(representing approximately 94.06% of the issued share capital) and each other
member of the Morgan Stanley Dean Witter Group of companies which is the direct
and or in direct holding company of any of them are interested in those shares
by attribution.
