                  Northumbrian Services Limited (the "Company")
                                        
Proposed substitution of Northumbrian Water Finance plc (the "Substitute Issuer")
      for the Company as issuer in relation to #350,000,000 6.875 per cent.
              Guaranteed Bonds due 2023 of the Company (the "Bonds")

The Company is pleased to announce that at the meeting of bondholders convened
by a notice of meeting published on 9 March 2006 and held this morning, the
meeting was quorate and the resolution was duly passed.

It is expected that the substitution will become effective later today following
the signing of the Second Supplemental Trust Deed. The payment of 20p per #1,000
nominal of the Bonds will be paid on 7 April 2006.
