                   RESULTS OF THE COURT MEETING AND THE 
                      EXTRAORDINARY GENERAL MEETING 


Further to the circular to Bourne End shareholders dated Friday, 29 October
1999, a Court Meeting and an Extraordinary General Meeting of Bourne End
shareholders was held on Wednesday, 24 November 1999.  

At the Court Meeting of Bourne End Independent Shareholders convened by the
High Court of Justice to approve the Scheme of Arrangement, the resolution to
approve the Scheme of Arrangement was passed.  

At the Extraordinary General Meeting of Bourne End, the resolutions to approve
the transfer agreement with the Noe Interests, the Scheme of Arrangement and a
reduction in the share premium account were all passed by the requisite
majorities.
