On 7 November 2000, M.M.T. Computing plc ("MMT") announced that it had
received an approach that might have led to an offer being made for the
company.  After serious consideration, the Board has concluded that the terms
of the final proposal put forward by the third party do not fully recognise
the value of the company and accordingly discussions have now been terminated.

As announced at the company's preliminary results, it is the belief of MMT's
management that the restructuring and repositioning of the company has put it
in a good position to benefit from an expected surge in demand in e-commerce
and client server areas.  However, the Board will remain alert to any
opportunities to maximise shareholder value.
