NXT / SOUND ADVANCE SYSTEMS
LICENSE AGREEMENT
NXT and Sound Advance Systems of California (SAS) are pleased
to announce a cross-license agreement of their respective
Intellectual Property Rights (IPR).
Under the terms of this agreement NXT has granted SAS a non-
exclusive world-wide license, without power to sub-license,
for IPR currently being licensed by NXT. This is in SAS's
traditional fields of business, notably commercial and
residential sound systems.
The IPR being licensed by NXT now also includes numerous
patents and patent applications owned by the US based Noise
Cancellation Technologies, Inc., NCT Audio Products Inc. (NCT)
and the Defence Evaluation & Research Agency (DERA).
In return, NXT has obtained non-exclusive rights from SAS to
their planar loudspeaker patents, with power to sub-license,
in fields of use outside SAS's traditional business.
Verity Group plc, NXT's holding company, has also made an
investment of US$1 million for 5% of the common stock of SAS
and will invest a further $1 million to increase this stake to
10% in June 1999. This will establish the basis of a long-
term relationship with the company that has in recent years
made substantial investment in the research and development of
complementary technologies. As a result of this high level of
investment, in the 10 months ended 31st October 1997 SAS made
a loss of $385,000 (#230,000) on assets of $790,000 (#470,000)
(unaudited results).
The strategic alliance of DERA, NCT and SAS with NXT now
allows NXT licensees to benefit from over 80 active patents
and patents pending in relation to flat panel loudspeaker
technology.
