(qq) GAAP means generally accepted accounting
principles, consistently applied, in the United States.
(rr) Governmental Authority means any
government, governmental, administrative, self-regulatory or regulatory entity or body, department, commission, board, agency or instrumentality, or other legislative, executive or judicial governmental entity, and any court, tribunal or judicial
body, in each case whether federal, state, county or provincial, and whether local or foreign.
(ss) Governmental Authorization means any authorizations, approvals, licenses, franchises,
clearances, permits, certificates, waivers, consents, exemptions, variances, expirations and terminations of any waiting period requirements (including, pursuant to Antitrust Laws) issued by or obtained from, and notices, filings, registrations,
qualifications, declarations and designations with, a Governmental Authority.
(tt) Group has
the meaning as used in Section 13 of the Exchange Act.
(uu) Hazardous Substance means any
substance, material, waste or pesticide that is listed, defined, designated, regulated or classified as hazardous, toxic, radioactive, dangerous, a pollutant, a contaminant, petroleum, oil or words of similar meaning or effect under any
Environmental Law relating to pollution, waste, occupational safety and health, or the environment, including but limited to petroleum or petroleum products, polychlorinated biphenyls, asbestos or asbestos-containing materials, and per- and polyfluoroalkyl substances.
(vv) HSR Act means the
Hart-Scott-Rodino Antitrust Improvements Act of 1976.
(ww) Indebtedness means any of the
following obligations: (i) indebtedness for borrowed money (including any principal, premium, accrued and unpaid interest, related expenses, prepayment penalties, commitment and other fees, sale or liquidity participation amounts,
reimbursements, indemnities and all other amounts payable in connection therewith); (ii) obligations evidenced by bonds, debentures, notes or other similar instruments or debt securities; (iii) obligations pursuant to or in connection with
letters of credit, surety bonds, performance bonds or bankers acceptances (in each case whether or not drawn, contingent or otherwise); (iv) obligations pursuant to capitalized leases; (v) obligations arising out of interest rate and
currency swap, hedging, cap, collar or futures Contracts or other derivative instruments, agreements or arrangements; (vi) liabilities related to the deferred purchase price of property or services; (vii) deferred purchase price
obligations related to past acquisitions and other liabilities in connection with earnouts or other contingent payment obligations, (viii) liabilities under sale-and-leaseback transactions, agreements to
repurchase securities sold and other similar financing transactions; and (ix) indebtedness of others of the kind described in clauses (i) through (viii) guaranteed by the Company or any of its Subsidiaries or secured by any lien or
security interest on the assets of the Company or any of its Subsidiaries.
(xx) Inquiry means
an inquiry, request for discussions or negotiations or request to review non-public information that would reasonably be expected to indicate an interest in making or effecting of an Acquisition Proposal or an
Acquisition Transaction.
(yy) Intellectual Property means the intellectual property and all
rights associated with the following: (i) all United States and foreign issued patents and patent applications therefor, utility models and applications for utility models, inventors certificates and applications for inventors
certificates, and invention disclosure statements, together with all reissuances, continuations, continuations-in-part, divisionals, revisions, extensions, and
reexaminations thereof (Patents); (ii) all original works of authorship, rights in copyrightable subject matter in published and unpublished works of authorship, copyrights, copyright registrations and applications therefor,
moral rights and all other rights corresponding thereto throughout the world, and waivers and consents not to enforce such moral rights (Copyrights); (iii) registered and unregistered trademarks, service marks, trade dress
rights, logos and design marks, trade names, slogans, product and service names,
