Under the terms of the transaction, NYSE shareholders may elect to receive either $33.12 in cash, 0.2581 IntercontinentalExchange, Inc. shares, or a combination of $11.27 in cash and 0.1703 shares of stock for each share of NYSE stock they own. The transaction has total approximate value of $8 billion. The investigation concerns whether the NYSE Board of Directors breached their fiduciary duties to stockholders by failing to adequately shop the Company before entering into this transaction and whether IntercontinentalExchange, Inc. is underpaying for NYSE shares, thus unlawfully harming NYSE stockholders.
