Prospectus Offering:
Concurrent with the acquisition of 1618254, the Company completed a public
offering of 8,000,000 units, each unit consisting of one common share and
one-half common share purchase warrant, at a price of $0.15 per unit. A
full warrant entitles its holder to purchase one common share of the
Company at a price of $0.25 until September 1, 2010 and at $0.35
thereafter until September 1, 2011. Investpro Securities Inc., as agent
for the offering, was granted an over-allotment option for either
1,200,000 units or 600,000 warrants.
The Exchange has been advised that the above transactions have been
completed.
