On August 22, 2008 CNB Corporation mailed to shareholders its quarterly shareholder financial report which discloses the results of operations of the Company for the six-month periods ended June 30, 2008 and June 30, 2007 and the financial condition of the Company as of June 30, 2008 and June 30, 2007.

The financial report is attached hereto as Exhibit 99.
