               Recommended Cash Offer for Bristol Water Group plc


The Board of Bristol Water plc (the "Company") notes the recent announcement
regarding a recommended cash offer for Bristol Water Group plc, the Company's
ultimate parent company, by Societe Generale on behalf of Sociedad General de
Aguas de Barcelona, S.A. ("Agbar").

As far as the Board are aware, it is not Agbar's current intention to make an
offer for the Company's existing preference shares nor to remove their listing.
