("Elcom" or the "Company")

Elcom enters Zanzibar contracts

As previously announced by Elcom, the Company through its wholly-owned
subsidiary Elcom Systems Limited ("Elcom UK"), is a member of a consortium led
by PA Shared Services Limited ("PASSL"), a member of PA Consulting Group, a
world-wide consulting firm. PASSL is expected to supply an eMarketplace system
(the "Zanzibar System") for the Office of Government Commerce. Elcom UK is a
subcontractor to PASSL for the provision of the eProcurement and eMarketplace
components of the Zanzibar System pursuant to agreements which Elcom UK has
entered with PASSL.

The Company has also previously announced that it is in the process of raising
funds by way of a placing (the "Placing") of equity securities to non-US persons
in the UK pursuant to Regulation S of the Securities Act of 1933, as amended
(the "Securities Act"). The equity securities being offered in the Placing have
not been registered under the Securities Act and may not be offered or sold in
the United States (or to a US person) absent registration or an applicable
exemption from registration. Consummation of the Placing will cause substantial
dilution to current stockholders of the Company. The Company has yet to
consummate the Placing, but anticipates that the Placing will be completed in
the near term. If the Company is unable to secure any additional funding from
any source by September 2005, it would be forced to seek protection under
Federal bankruptcy laws.
