                    Further allotment of "C" Ordinary shares





At a board meeting held on 5 April 2006 a further 119,331 "C" Ordinary shares of
10p each in Neptune-Calculus Income and Growth VCT plc ("the Company") were
allotted under the prospectus published by the Company on 5 October 2005
containing details of the Offer to Subscribe for up to 12,000,000 "C" Ordinary
shares in the Company.


Application has been made for the admission of the 2,945,203 "C" Ordinary shares
to the Official List of the UK Listing Authority and to trading on London Stock
Exchange plc's market for listed securities. Trading in these "C" Ordinary
shares is expected to commence on 7 April 2006 at 8.00am. The total number of
"C" Ordinary shares allotted to date is 8,393,209.



As part of the allotment of 'C' ordinary shares ('C Shares') announced by
Neptune-Calculus Income and Growth VCT plc (the 'Company') on 5 April, Susan
McDonald, the wife of John Glencross, a director of the Company, subscribed for
10,000 C Shares, taking her total holding to 30,000 C Shares. As a result, on
the basis of an issued share capital of 8,393,209 C Shares, John Glencross is
interested in 45,000 C Shares representing 0.54% of the issued C Shares.
