In conformity with the Transparency Directive's transitional provision 6, North
Midland Construction PLC notifies the market of the following:


North Midland Construction's capital consists of 9,800,000 ordinary shares of
10p each with voting rights. North Midland Construction PLC does not hold any
ordinary shares in Treasury.


The figure 9,800,000 may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, North Midland Construction PLC
under the FSA's Disclosure and Transparency Rules.
