Grant of Options
Nexus Management, provider of specialist IT Managed services, announces that it
has today granted options over a total of 16,500,000 ordinary shares (the
"Options"), in equal tranches of 3,300,000 Options each to Peter Paterson
(Non-executive Chairman), Roger Richardson (Chief Executive Officer), Graham
Stoddart-Stones (Client Management Director), Peter Weller (Finance Director)
and Jeremy Lister (Non-executive Director) (together, the "Directors").
The Options have an exercise price of 0.4 pence per share; being a 23 per cent.
premium to the closing mid-market share price of the Company on 7 March 2011,
being the day prior to the date of the grant. The Options vest in equal
tranches at a rate of one third per year, on 8 March for each of the three
years beginning 8 March 2012 and are all, regardless of vesting period,
exercisable until 8 March 2021.
The Company also announces that options previously granted over 27,565,988
ordinary shares in Nexus (which does not include any options previously granted
to the Directors) have lapsed. Following the lapse of these options and the
grant of the Options as detailed above, the total number of outstanding options
is 286,606,019.
Of the remaining options over ordinary shares in the capital of the Company
outstanding, as detailed above, the Directors hold the following number of
