    VOTING RIGHTS AND CAPITAL  

    In conformity with rule 5.6.1 of the Disclosure and Transparency Rules, the 
    Board of PGI Group Plc notifies the market of the following: 

    The total number of ordinary shares of 25p each of PGI Group Plc in issue as at the date of this notice is 129,602,665 with each share
carrying the right to one vote. There are no shares held in Treasury.

    The above figure, 129,602,665, may be used by shareholders as the denominator for the calculations by which they will determine if they
are required to notify their interest in, or a change to their interest in PGI Group Plc under the FSA's Disclosure and Transparency Rules.
