                                 Result of EGM


At the Extraordinary General Meeting of the Company held this morning, the
resolution put to Independent Shareholders was passed.


At the meeting, Chris Phillips, one of the Independent Directors, made the
following comment:


"As a majority of Independent Shareholders are in favour of the Offer for the
Company by Park Street, all Shareholders are requested to return their Forms of
Acceptance in accordance with the instructions thereon by the closing time for
acceptances of the Offer, which is 3.00pm on Wednesday 15 September 2004."


Terms in this press release have the same meaning as in the Offer Document dated
25 August 2004.
