"Company")
Issue of Equity and Total Voting
Rights
Volex announces that, pursuant to its scrip
dividend alternative for the final dividend of 2.8 pence per share
for the year ended 31 March 2024 to be paid on 30 August 2024,
elections were received in respect of 4,211,452 ordinary shares of
25 pence each in the Company ("Ordinary Shares") as at the scrip
election date of 8 August 2024. Accordingly, 33,575 Ordinary Shares
(the "Scrip Dividend
Shares") will be issued in satisfaction of such elections at
the scrip reference price of 351.1 pence each.
Application has been made to the London Stock
Exchange for the Scrip Dividend Shares to be admitted to trading on
AIM. It is expected that dealings in the Scrip Dividend Shares will
commence at 8.00 a.m. on 30 August 2024.
The Scrip Dividend Shares will rank pari passu
in all respects with the existing Ordinary Shares of the
Company.
Total voting
rights
Following admission of the Scrip Dividend
Shares, the Company's total issued share capital will consist of
181,651,108 ordinary shares of 25 pence each with one voting right
per share.
As the Company does not hold any shares in
treasury, the total number of voting rights in the Company is also
181,651,108 and this figure may be used by shareholders as the
denominator for the calculations by which they will determine if
they are required to notify their interest in, or a change to their
interest in, the share capital of the Company under the FCA's
Disclosure Guidance and Transparency Rules.
