SHARE PLACING TO RAISE GBP540,000
The Board of VSA Capital Group, the AIM listed natural resources
focused specialist corporate finance advisory and broking firm, is
pleased to announce that it has successfully raised GBP539,077
before expenses by way of a placing of 8,984,609 new ordinary
shares of 0.2p each in the capital of the Company ("new Ordinary
Shares") at 6 pence ("Placing Price") per new Ordinary Share, the
current mid-market price. Subscribers for new Ordinary Shares will
also receive warrants ("Warrants") to subscribe for ordinary shares
of 0.2p each in the capital of the Company on the basis of 1
Warrant for every 20 new Ordinary Shares, exercisable over five
years at an exercise price of 8p. The placing of new Ordinary
Shares and Warrants together comprises the Placing ("Placing").
The Placing was undertaken among existing and new investors and
senior management in order to drive growth in the business through
ongoing recruitment of quality professionals and for working
capital purposes. Andrew Monk, Chief Executive, has subscribed for
1,250,000 new Ordinary Shares and associated Warrants in the
Placing.
ADMISSION TO TRADING ON AIM
The 8,984,609 new Ordinary Shares to be issued pursuant to the
Placing will rank pari passu in all respects with the existing
issued ordinary share capital of the Company. Application will be
made for the new Ordinary Shares to be admitted for trading on AIM
and trading is expected to commence on 9 January 2012.

TOTAL VOTING RIGHTS
Following the admission of the new Ordinary Shares, the issued
share capital of the Company will increase by 25.79 per cent. to
43,825,599 ordinary shares of 0.2p each. This figure may be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in, the share capital of the Company
under the Disclosure and Transparency Rules (as applied to the
Company by AIM Rule 17).
