Notice of Annual General Meeting

Woodbois Limited (AIM: WBI), the African focused forestry, timber trading, reforestation and voluntary carbon credit company is pleased to announce that its Annual General Meeting (the "Meeting") will be held at the Company's registered office, Dixcart House, Sir William Place, St Peter Port, Guernsey GY1 1GX, on Wednesday 29 December 2023 at 11:00 am BST.

The Notice of Annual General Meeting and Form of Proxy will be posted today and will be available on the Company's website at www.woodbois.com /investors .

The Directors strongly encourage all Shareholders to appoint the Chair of the meeting as a proxy by completing the Form of Proxy as detailed in note 5 of the Notice of AGM or, in the case of CREST members, by using the CREST electronic proxy appointment service as detailed in note 11 of the Notice of AGM. Alternatively, Shareholders can also vote online as detailed in note 12 of the Notice of AGM.

Shareholders will be able to follow the proceedings of the Meeting over the online Investor Meet Company platform by registering in advance via the following link:

Shareholders who already follow Woodbois on the Investor Meet Company platform will automatically be invited. Shareholders are invited to submit any questions in respect of the business of the Meeting for the Directors to consider. Questions may be submitted pre-event up until 9am the day before or during the Meeting over the Investor Meet Company platform and the Directors will aim to respond to any such questions relevant to the business of the Meeting.

Woodbois will provide a live investor presentation via the Investor Meet Company platform following completion of the business of the Meeting.

Shareholders joining over the platform will be able to see and hear the Meeting but will not be seen or heard by the Directors. Shareholders will not be able to vote at the AGM over the online platform, but may do so by submitting their votes in accordance with the instructions in the Notice of Meeting or by attendance.

The Board encourages shareholders to watch the Company's website and regulatory news services for any updates in relation to the Meeting that may need to be provided.
