Explanation of Responses:
1. On December 19, 2019, the reporting person was granted an option to purchase 1,250,000 shares of Common Stock of the issuer, subject to the issuer's satisfaction of certain performance criteria for the fiscal year ended December 31, 2020, which vested in three equal annual installments on each of December 31, 2020, December 31, 2021 and December 31, 2022.
2. The two reported transactions involved an amendment of an outstanding option to extend the post-termination exercise period to March 31, 2025, resulting in the deemed cancellation of the "old" option and the grant of a replacement option.
Remarks:
On October 24, 2024, the Board of Directors approved to extend the expiration date of the options granted on December 19, 2019. The extension is for 122 days from November 29, 2024 to March 31, 2025. Exhibit 24 - Power of Attorney

Bush and Shannone Raybon, the undersigned’s true and lawful attorney-in-fact (each of such persons and their substitutes being referred to herein as the “Attorney-in-Fact” and, collectively, the “Attorneys-in-Fact”), each with full power of substitution and resubsitution, and to act for the undersigned and in the undersigned's name, place and stead, in any and all capacities, to:

 

1.Prepare, execute, and submit to the Securities and Exchange Commission ("SEC") a Form ID, including amendments thereto, and any other documents necessary or appropriate to obtain codes and passwords enabling the undersigned to make electronic filings with the SEC of reports required or considered by the Attorney-in-Fact to be advisable under Section 13 or Section 16 of the Securities Exchange Act of 1934 (the "Exchange Act") or any rule or regulation of the SEC;

 

2.Prepare, execute and submit to the SEC, AdaptHealth Corp.
