Notice of Non-Compliance with Nasdaq Listing Standards

On December 3, 2024, Captivision Inc. (the “Company”) received a written notice (the “Notice”) from the Listing Qualifications department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that, from October 21, 2024 to December 2, 2024, the Company was not in compliance with the minimum Market Value of Listed Securities (“MVLS”) requirement of $50 million for continued listing on The Nasdaq Global Market as set forth in Nasdaq Listing Rule 5450(b)(2)(A) (the “Rule”). The Notice is only a notification of deficiency, not of imminent delisting, and has no current effect on the listing or trading of the Company’s securities on The Nasdaq Global Market.

In accordance with Nasdaq Listing Rule 5810(c)(3)(C), the Company has 180 days from the Notice (the “Compliance Period”) or until June 2, 2025 (the “Compliance Date”) to regain compliance with the Rule. To regain compliance with the Rule, the MVLS for the Company must be at least $50 million for a minimum of ten consecutive business days at any time during the Compliance Period. If the Company regains compliance with the Rule by the Compliance Date, Nasdaq will provide the Company with written confirmation and will close the matter. If the Company does not regain compliance with the Rule by the Compliance Date, Nasdaq will provide written notification that its securities will be subject to delisting. In the event of such notification, the Nasdaq rules permit the Company an opportunity to appeal Nasdaq’s determination. Alternatively, the Company may choose to apply for transfer to The Nasdaq Capital Market provided it satisfies the requirements for continued listing on that market.

The Company is monitoring its MVLS and may, if appropriate, evaluate available options to regain compliance with the Rule. However, there can be no assurance that the Company will be able to regain or maintain compliance with Nasdaq listing standards or that an appeal, if taken, would be successful.
