- The waiting period under the Hart-Scott Rodino Antitrust Improvements Act of 1976 has expired, which satisfies one of the conditions of the tender offer.

- The tender offer remains subject to the other conditions described in the Offer to Purchase filed January 11, 2010

- The tender offer is scheduled to expire at 1200 midnight, New York City time, on February 8, unless the tender offer is extended.
