Item 3.01.Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On August 15, 2024, OneMedNet Corporation (the “Company”) received approval from the Nasdaq Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) to list its common stock (the “Common Stock”) and warrants (the “Warrants”) on The Nasdaq Capital Market. The Common Stock and Warrants will be transferred from The Nasdaq Global Market to The Nasdaq Capital Market at the opening of business on August 19, 2024, and will continue to trade under the symbols “ONMD” and “ONMDW,” respectively. The Nasdaq Capital Market operates in substantially the same manner as the Nasdaq Global Market, and listed companies must meet certain financial requirements and comply with Nasdaq’s corporate governance requirements. As of August 16, 2024, 31,395,666 shares of the Company’s Common Stock are issued and outstanding.
