| (2) | The redeemable warrants will become exercisable on the later of 30 days after the completion of the issuer's initial business combination and 12 months from the closing of the initial public offering of the issuer's securities. The redeemable warrants will expire 5 years after the completion of the issuer's initial business combination or earlier upon redemption by or liquidation of the issuer, as described in the prospectus for the issuer's initial public offering. |
Remarks:
