Item 5.07. Submission of Matters to a Vote of Security Holders.

On May 23, 2024, Maravai LifeSciences Holdings, Inc. (the “Company”) held its 2024 Annual Meeting of Shareholders (the “Annual Meeting”). On March 25, 2024, the record date for the Annual Meeting, the Company had an aggregate of 251,748,827 shares of common stock issued and outstanding, consisting of 132,654,801 shares of Class A common stock and 119,094,026 shares of Class B common stock (together, the “Common Stock”). The holders of a total of 236,931,940 shares of Common Stock were present at the Annual Meeting, either in person or by proxy, which constituted a quorum for the purpose of conducting business at the Annual Meeting.

Set forth below are the final voting results for each proposal submitted to a vote of the Company’s shareholders at the Annual Meeting.

Proposal No. 1: Election of directors.

The Company’s shareholders elected the following nominees for director to serve for three-year terms expiring at the Company’s 2027 Annual Meeting of Shareholders and until their respective successors are duly elected and qualified, or until his or her earlier death, resignation or removal.
