This filing relates solely to preliminary communications
made before the commencement of a tender offer (the “Offer”) for the outstanding shares of common stock, par
value $0.02 per share of National Holdings Corporation, a Delaware corporation (“NHLD”) by B. Riley Principal
Merger Corp. III, a Delaware corporation (“Merger Sub”), a wholly owned subsidiary of B. Riley Financial, Inc.
(“BRF”).
