(o) Intellectual Property. Except as set forth in the Registration
Statement and the Prospectus, the Company or its Significant Subsidiaries own or possess a valid right to use all material patents, trademarks, service marks, trade names, copyrights, patentable inventions, trade secrets, know-how and other intellectual property (collectively, the Intellectual Property) used by the Company or its Significant Subsidiaries in, and material to, the conduct of the Companys
or its Significant Subsidiaries business as now conducted or as proposed in the Registration Statement and the Prospectus to be conducted. Except as set forth in the Registration Statement and the Prospectus, there is no material infringement

violation, default, revocation or modification would not, individually or in the aggregate, have a Material Adverse Effect.
