The notes are being offered to investors at a price of 99.117% of principal amount. The closing of the Offering is scheduled to occur on September 23, 2005, and is subject to customary closing conditions. The Notes are being offered to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act") and to persons outside the United States under Regulation S of the Securities Act.
