Terra Firma Capital Corporation Enters Into Advisory Agreement With
Spinnaker Capital Markets Inc.
TORONTO, ONTARIO--(Marketwired - Feb 26, 2014) - Terra Firma
Capital Corporation (TSX-VENTURE:TII) ("Terra Firma" or the
"Company"), a real estate finance company, today announced that it
has appointed Spinnaker Capital Markets Inc. ("Spinnaker") as its
capital markets and investor relations advisor.
Spinnaker's mandate will focus on developing and expanding the
network of investors, analysts, and financial intermediaries who
are interested in following the Terra Firma growth and investment
story. The agreement is for a term of twelve months from February
15, 2014 to February 14, 2015 plus a 60 day notice period. The
agreement provides for a full range of Investor Relations services
for a monthly fee of $6,000. Under the terms of the agreement,
Terra Firma has granted 100,000 share options to Spinnaker at an
exercise price of $0.50 per share. Each of the Options shall vest
in four equal installments, with the first 25% vesting immediately
upon grant, and 25% vesting every 90 days thereafter and become
exercisable on the same day of each month thereafter and shall
expire on that date which is the earlier of (i) at least 60 days
upon termination of the agreement or (ii) five years.
