Explanation of Responses:
( 1)  These shares have been returned to the treasury of the Company pursuant to the terms and provisions of the Company Escrow Agreement.
( 2)  These shares are subject to the terms and provisions of the Escrow Agreement, which forms a material component of the Share Exchange Agreement entered into on August 27, 2009 by the Company and Nationwide Energy Portal, Inc., whereby as a result of the termination by the Company of the holder thereof, these shares were required to be returned to the Company's treasury for cancellation.
( 3)  These preferred shares have been returned to the treasury of the Company pursuant to the terms and provisions of the Company Series A Preferred Share Certificate of Designation filed with Nevada Secretary of State.
( 4)  These preferred shares are subject to the terms and provisions of the Series A Preferred Share Certificate of Designation filed with the Nevada Secretary of State, whereby as a result of the termination by the Company of the holder thereof, these preferred shares were required to be returned to the Company's treasury for cancellation.
