Distribution of Consideration Shares by Greenbrook Capital and
update on Holdings in Company
The Board of Totally plc (AIM: TLY), a leading provider of a
range of out of hospital services to the healthcare sector in the
UK, announces that Wendy Lawrence, Chief Executive Officer, and
Gloria Cooke, Clinical Quality Director, purchased a total of
54,721 ordinary shares of 10p each in the Company ("Ordinary
Shares") on 20 June 2019.
Following these purchases, Wendy Lawrence has a total beneficial
interest in 73,609 Ordinary Shares, equivalent to 0.04 per cent. of
the Company's issued share capital and Gloria Cooke has a total
beneficial interest in 50,500 Ordinary Shares, equivalent to 0.03
per cent. of the Company's issued share capital.
Further details on the share purchases are set out below.
Further to the announcement released by the Company on 20 June
2019 regarding the completion of Totally's acquisition of
Greenbrook Healthcare, the Company can also confirm that the
distribution of the Consideration Shares by Greenbrook Capital to
its registered members was effected on 21 June 2019 with beneficial
ownership of the Consideration Shares transferring to the members
on 20 June 2019.
Further details on the proposed distribution by Greenbrook
Capital to its registered members were described in the Company's
announcement of 20 June 2019 and were also set out in the Company's
admission document, published on 31 May 2019. The registered
members will remain bound by the lock-in agreements entered into by
Greenbrook Capital dated 31 May 2019.
The Company can also confirm the beneficial shareholdings of
certain shareholders following the distribution of the
Consideration Shares, as described in the admission document
published on 31 May 2019:
