Accounts For the Year Ended 31 March 1999

This is to inform you that a meeting of the Board of Directors of the Company
will be held on Tuesday, 10 August 1999 inter alia, to approve the Accounts of
the Company for the year ended 31st March, 1999.  The Board will not consider
any proposal for payment of dividend for the said year.

At the above meeting, the Board proposes to consider forfeiture of 6226761
partly paid equity shares of the Company, on which payment of allotment and/or
call money is overdue.  Details of these shares will be furnished to you
immediately after the meeting.
