(the "Company" or "Actual Experience")
Grant of Options
Actual Experience plc (AIM: ACT), the analytics-as-a-service
company, announces that on 27 July 2023 it granted options
("Options") over 14,496,920 ordinary shares of 0.2 pence each in
the capital of the Company ("Ordinary Shares") to certain employees
and Directors of the Company. The Options have been granted under
the Actual Experience Plc Value Creation Plan, which entitles the
Option holders, as a group, to share a total of 6.8% of the growth
in value of the Company above a hurdle share price of 5.00 pence
share (up to a maximum share price of 148.65 pence per share).
The Options have an exercise price of 1.23 pence, being the
Company's closing share price on the day prior to grant, and vest
in two equal tranches on 27 July 2026 and 27 July 2027, subject to
the Company's share price at these dates exceeding 5.00 pence. The
Options, once vested, can be exercisable anytime up until the 10th
anniversary of the date of grant.
Two Directors of the Company have been granted options over a
total of 8,101,220 Ordinary Shares as follows:
