Disclosure Under Section 198 Companies Act 1985 ("The Act")


The Board of Bolton Group announces, in accordance with The Act, that following
the disposal of 970,191 shares on 25 September 2002, Hollyhill Ltd of PO Box
957, Offshore Incorporation Centre, Road Town, Tortola, British Virgin Islands,
now holds a total of 12,000,000 ordinary shares.  This represents 19.81% of the
total issued share capital of Bolton Group.


These shares are held in the registered name of Brewin Nominees Ltd and the
Board is not aware of any other shares that Hollyhill Ltd may hold.
