DEALINGS BY DIRECTORS AND CONNECTED PERSONS

CLS HOLDINGS PLC ("the Company")

DIRECTOR SCRIP DIVIDEND TAKE UP AND SHARE DISPOSALS

The Company has been informed today, 8th October 1997, that Mr S Mortstedt has
agreed to take up his entire scrip dividend entitlement of 826,276 new
ordinary CLS shares.  In addition he has today, 8th October 1997, sold
1,190,000 ordinary shares at 134 1/2 pence per share.  The effect of these
transactions is to marginally decrease his total shareholding from 45,517,089
ordinary shares to 45,153,365 ordinary shares.

Mr B Mortstedt has today agreed to take up 100,352 new ordinary shares as part
of his scrip dividend entitlement.  In addition he has today, 8th October
1997, sold 110,000 ordinary shares at 134 1/2 pence per share.  The effect of
these transactions is to marginally decrease his total shareholding from
8,730,459 ordinary shares to 8,720,811 ordinary shares.
