Listing Application and Issue of Ordinary Shares

Payments made in respect of historical acquisition

Further to announcements made on 2 March 2020 and 28 May 2021, Gamma Communications plc (the "Company") announces that it has recently paid the former owners of Exactive Holdings Limited ("Exactive") additional consideration of GBP1.15m, from a possible maximum of GBP1.5m, being the second and final of two contingent consideration payments. The consideration is made up of GBP0.93m in cash and GBP0.22m (c.20%) in Gamma shares.

20,194 ordinary shares of 0.25p each (the "New Shares") in Gamma will be issued to the former owners of Exactive. An application has been made to the London Stock Exchange for the listing of the New Shares to be admitted to trading on AIM which is expected at 8:00am on Monday 18 December 2023. Any New Shares will, when issued, rank pari passu with the existing ordinary shares of the Company.

The Company's total issued share capital following admission will consist of 97,458,926 ordinary shares of 0.25 pence each with one voting right per share. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
