                Offer declared unconditional in all respects


Further  to  the  announcement on 25 May 1999 that WH  Smith  had  agreed  to
acquire  further  shares  in  Hodder  Headline  which  resulted  in  a  total
shareholding representing 51.9 per cent. of Hodder Headline's issued ordinary
share  capital,  WH  Smith  today announces that settlement  of  these  share
purchases has occurred.

Accordingly,  the  Offer for the share capital of Hodder  Headline  has  been
declared  unconditional  in  all respects.   The  Offer  and  the  Loan  Note
Alternative will remain open for acceptance until 3.00 p.m. on 18 June 1999.
