Issue of Shares in connection
with the Company's Long Term Incentive Plan, Save as You Earn
scheme and Total Voting
Rights
On 29 April 2024 Zedra Trust Company
(Guernsey) Limited, the trustee of the Hostelworld Group Employee
Benefit Trust (the "Trustee" and the "Trust"), subscribed for 1,345,870
ordinary shares of €0.01 each in the capital of the Company for a
subscription price equal to the nominal value per share (the
"EBT Shares"). The
EBT Shares will be used to satisfy restricted share awards granted
by the Company under its Long-Term Incentive Plan (the
"Plan") as and when they
vest/become exercisable in accordance with the rules of the
Plan.
A further 5,245 ordinary shares of
€0.01 each in the capital of the Company were allotted and issued
in connection with the Company's SAYE scheme on 22 April 2024 for a
subscription price equal to the nominal value per share (the
"SAYE Shares").
The EBT Shares and SAYE Shares rank
pari passu in all respects with the existing issued shares of the
Company.
In accordance with DTR 5.6.1R,
following the above share issue, the Company's issued share capital
consists of 124,989,783 ordinary shares of €0.01 each (the
"Ordinary Shares"), with
one vote per share. The Company does not hold any Ordinary
Shares in treasury. Therefore, the total number of voting
rights is 124,989,783 and this is the figure which may be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in, the Company under either the FCA's
Disclosure Guidance and Transparency Rules or the Transparency
(Directive 2004/109/EC) Regulations 2007, as amended.
