Pantheon Leisure plc ("Pantheon" or "the Company")
Directorship Changes
Pantheon Leisure PLC, the AIM traded company formed to develop businesses in
the leisure sector, announces that it has appointed Bill Weston as Chairman.
Mr. Weston replaces David Bernstein who has stepped down to pursue other
business commitments.
Mr. Weston has many years experience in the City having previously been a
senior partner for 15 years with Foster & Cranfield, the financial assets
auctioneer. While there, he was instrumental in acquiring Philips Auctioneers
in a JV with 3i, after which the enlarged company was acquired by LVMH. Trained
as an engineer, Mr. Weston began his career in motor racing, driving Lotus
Sevens, after which he moved to ship broking and was a founding member of MGS
Ship Brokers. He is currently involved in a number of growth companies and is a
director of Gailfield Ltd, the private investment fund.
Pantheon CEO Barbara Moss said: "Bill is an extraordinary character with a vast
number of contacts in the City. We continue to explore acquisition targets that
complement our operating subsidiary, The Elms, and believe that with Bill's
help we can both push these forward and source other potential deals.

his counsel through Pantheon's first phase of development. We wish him every

On appointment Mr Weston will be granted 2.5 million options to subscribe for
new ordinary shares in Pantheon having an exercise price of the mid-market
price of a Pantheon ordinary share at the close of business on 26 July 2006. In
addition, Mr Weston has acquired for a nominal sum from Mr Bernstein 4 million
warrants issued to Mr Bernstein on his appointment to the Pantheon Board.
Options over a total of 2.5 million new ordinary shares granted to Mr Bernstein
on his appointment to the Board have been surrendered.
William Jeremy Weston, aged 66, is a director, or has been a director, of the

Pantheon Leisure Plc was established to take advantage of opportunities in the
sports and leisure sectors. It currently has one trading subsidiary, The Elms
Group Limited (www.theelms.co.uk), which has four sports activities divisions:
5-a-side football; bespoke corporate events; the operation of international
summer camps; and a "Sport in Schools" initiative. The Board is actively
examining a number of other acquisition possibilities in the sporting and
leisure arenas in order to build on the existing portfolio of activities. The
Company has a strong management team with extensive experience in the sports
and leisure industry, as well as considerable knowledge in corporate and
strategic planning, acquisitions and finance.
