In accordance with the Disclosure and Transparency Rules 5.6.1.R, the Company
advises that, as at today's date its issued share capital comprises 950,108,561
ordinary shares of �0.20 each. Each ordinary share carries the right to one
vote in relation to all circumstances at general meetings of the Company. The
Company does not hold any ordinary shares in treasury.

The voting rights of all of these shares are identical. The above figure
(950,108,561) may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to notify their
interest in, or a change to their interest in, Scottish & Newcastle plc under
the FSA's Disclosure and Transparency Rules.
