                              Inter-Company Loan


Startup Station PLC announces that an inter-company loan with Dominion Oil USA
Corp for the amount #736,513 will be assigned to its subsidiary, Dominion
Energy PLC. The loan, which has been outstanding for several years and is
non-interest bearing, was granted to acquire or optimise the oil and gas
assets in the USA and has been treated as quasi equity.

The Board believes it to be in the best interests of Startup Station's
shareholders to accept shares in Dominion Energy PLC in lieu of this loan.

The demerger of Dominion Energy, which is to be listed on OFEX, is expected to
maximise shareholder value.
