                Acquisition of Assets from Emergent Systems Inc.

Visual Defence, a provider of integrated IP solutions to the security and
defence markets (LSE:VDI), is pleased to announce the acquisition of assets from
Emergent Systems Corporation, a Systems Integrators based in Western Canada that
services the professional audio and video (AV) markets. The purchase price of
Emergent was approximately $750,000 with an additional $300,000 in stock
options.

Founded in 1987, Emergent is known for high quality AV system integration, and
specializes in tailor made control applications, allowing for the
implementations of complex AV solutions, while creating straightforward
management tools. Emergent's audio offerings include public announcement and
intercom solutions; while their video services include video conferencing,
high-end video boardroom products and Point of Sale (POS) content delivery.
Based out of Western Canada, Emergent Systems has a long list of diverse
clientele and markets, from airports, to hotel chains, casinos and government
offices.
