Explanation of Responses:
( 1)  Nonqualified stock option grant under the SRS Labs, Inc. 2006 Stock Incentive Plan. The option shall vest as follows: 1/4th to vest one year after the date of grant and 1/16th every three months during the next three successive years thereafter measured from June 20, 2012.
( 2)  This amendment corrects the description of the vesting terms in the originally filed Form 4.
